A. Introducción

Construction Contracts Checklist

A. Introduction

The purpose of this checklist is not to replace a review of the construction contract, but is intended to be used following such a review in order to check that all the key areas of the contract have been addressed. It is not essential to obtain positive answers to all the questions below in order to be able to give a contract a positive review, but hopefully the checklist will be useful in identifying areas of the contract which require further attention.

Agreements for Renewable Energy Projects: Power Purchase Agreements

A Power Purchase Agreement (PPA) specifies the contract between two parties: a) the seller, who generates electricity, and; b) the buyer, who is looking to buy electricity. It defines all the terms for the sale between the two. A PPA secures the payment stream for a Build-Own Transfer (BOT) or concession project for an independent power plant (IPP). It is between the purchaser (often a state-owned electricity utility) and a privately owned power producer.

Land Lease Agreements

Land Lease Agreements are used whenever the government owns the land of the site of a project and leases it to the operating company or concesionnaire for the period of the concession contract. In an independent power project, the Land Lease Agreement could be a stand-alone agreement, or its main provisions can also be included in the Power Purchase Agreement or Implementation Agreement.

Equity Contributions

Project sponsors are the investors in the project company that are likely to be providing expertise and some of the services to the project company (such as construction or operations services). Sponsor funding is generally through equity contributions in the project company through share capital and other shareholder funds.
