Español: Firmado en el 2001, este Contrato de Concesión contempla la operación, mantenimiento, y financiación de la expansión de los servicios de agua potable y alcantarillado en Guayaquil, Ecuador. El contrato de 30 años de concesión se celebró entre la Empresa Cantonal de Agua Potable y Alcantarillado de Guayaquil - ECAPAG y la firma International Water Services of Guayaquil (Interagua), empresa filial de FCC y Viola. El concesionario opera en una zona de 5.200 km y 2.5 millones de usuarios. Las obras y sus mejorías se regresan al estado al finalizar la concesión. ECAPAG para de ser operador a ser el ente regulador. El Contrato de Concesión identifica metas de niveles de servicio (Anexo 2). El proyecto contempla subcontratación local con un sistema de incentivos y penalidades y control de calidad de las obras (Anexo 8). El Contrato de Concesión requiere un plan de análisis y reducción de perdidas (Clausula 5.3), un Plan de Expansión de Conexiones (Clausula 5.3.2) y una serie de planes cada cinco años para mejorías del sistema e inversión en el mismo (Clausula 5.3.3). El Contrato de Concesión también cubre un plan de promoción para lograr aceptación publica de un operador privado y enfatizar transparencia y calidad del servicio (Clausula 5.8). 

 

El primer archivo es el contrato original. Primera Modificación (Octubre 2004) el cual modifica la formula de costos para reflejar un beneficio dado el cambio de tarifas eléctricas. Segunda Modificación (Agosto 2006) modifica una clausula que permitía el usa de la tarifa de telecomunicaciones para financiar nuevas conexiones de agua, para ser mas general "como lo permita la ley" y también modifica especificaciones técnicas. Tercera Modificación (Abril 2010) modifica el contrato de concesión para permitir una tarifa social, como lo requiere la Constitución del 2008 del Ecuador y remueve las penalidades en caso de eventos de caso fortuito. Cuarta Modificación (Agosto 2010) especifica con mas detalle como se compensara al concesionario por la tarifa social.

  

English: Signed in 2001, this Concession Agreement is for the operation, maintenance, financing and building of upgrades for the water and sewer system - a 30 year concession between the State of Guayaquil, Ecuador (Empresa Cantonal de Agua Potable y Alcantarillado de de Guayaquil - ECAPAG)  and International Water Services of Guayaquil (Interagua), a project company sponsored by FCC and Viola. The concessionaires operates on a zone of 5,200 km and serves 2.5 million users. The upgraded assets revert back to the state at the end of the concession. ECAPAG, the former state operator, shifts to a regulator role. The Concession Agreement sets operational targets and service levels (Annex 2). The project contemplates local subcontracting for works with an incentives and penalties system, and strict quality control measures (Annex 8). The Concession Agreement requires a comprehensive plan for analysis and reductions of system losses (Section 5.3) and Plan for Expansion of Connections (Section 5.3.2) and five-year plans for system improvements and investments (Section 5.3.3). The Concession Agreement also calls for a promotional plan to achieve public acceptance of the shift to a private operator and emphasize transparency and quality of service (Section 5.8). 

 

Within this page, you will find the original 2001 contract, along with the first addendum (October 2004) which modifies the cost formula to reflect a change in electricity rates. The second addendum (August 2006) modifies a clause that enabled the use of the telecommunications tariff for the investment in new water connections, to change from such specificity to "as allowed by law" and modifies technical specifications. The third addendum (April 2010) modifies the concession agreement  to enable pro-poor provisions in the 2008 Constitution of Ecuador and adjust the Force Majeure provision to waive penalties in case of a FM event, if due notice is given. The fourth modification (August 2010) further specifies the mechanism of compensation for forgone income due to the implementation of the "social tariff".
