This Operation, Management and Development Agreement (the “Agreement” or “OMDA”) made on this 4th day of April, 2006,
BY AND BETWEEN:

1. The Airports Authority of India acting through its Chairman (hereinafter referred to as the “AAI”, which expression shall, unless repugnant to the context or meaning thereof, include its successors and assigns) of the FIRST PART; and 2. Mumbai International Airport Private Limited, a company incorporated under the Companies Act, 1956 having its registered office at Mumbai Airport, Mumbai (hereinafter referred to as the “JVC”, which expression shall, unless repugnant to the context or meaning thereof, include its successors and permitted assigns) of the SECOND PART.
